Four activities, and a hard boundary

Everything below is either investment of our own capital or commercial consulting. None of it is regulated financial advice, and we do not hold anyone else’s money.

We acquire and hold participations in operating companies with our own capital. No fund, no outside investors, no pooled vehicle — which is why there is nothing here to subscribe to.

Commercial diligence

When a company is on the table, somebody has to read the contracts, the customer concentration and the working-capital cycle. We do that for our own decisions, and on mandate for others as a commercial — not financial — service.

What we are not permitted to do

This is the most important section on the site, so it is not buried in a footer.

No investment advice

We give no personal recommendation to buy, sell or hold anything. That is a licensed activity and we do not hold the licence.

No client money

We hold no client funds and no client financial instruments. There is no account to open here.

No fund, no subscription

There is no pooled vehicle and nothing to subscribe to. The capital invested is the company’s own.

No performance claims

No returns, no track record, no case studies you cannot verify. If you see those elsewhere, ask how you would check them.

02 — Approach

How we work

Slow at the start, decisive at the end, and unexciting in between.

Phase 01

Introduction

What the business is, who owns it and why the conversation is happening now. That last question answers more than people expect.

Diligence

Commercial reading of the documents. We say what we found, including when it ends the conversation.

Phase 03

Terms

Structure before price. If the mechanics cannot be agreed, the price never becomes relevant.

Hold

Governance, reporting and time. We are not looking for an exit on a schedule.

How we look at an opportunity

Four stages, and most opportunities stop at the first. That is the point of having one.

Stage 01 · Screen

Does it fail fast?

We look for the reasons not to proceed before anything else — customer concentration, a single-person dependency, a market that shrank while nobody updated the deck. Most things stop here, quickly and cheaply.

Clearly answered

Can I invest through VEXILON?

No. The company invests its own capital. There is no fund, no pooled vehicle and no subscription. Nothing on this site is an offer of securities or an invitation to invest.

Are you a licensed financial adviser?

No. VEXILON LTD is not authorised by CySEC or any other financial regulator and provides no investment advice, portfolio management or brokerage. Our consulting is commercial: structure, diligence and terms.

What is the difference between commercial and financial advice?

Commercial advice is about a specific business — its contracts, its customers, how a deal should be structured. Financial advice recommends investments to a person given their circumstances. We do the first and never the second.

Do you publish returns?

No. Past performance figures from a private holding company are unverifiable by you and would be marketing rather than information. We would rather publish nothing than something you cannot check.

What kind of businesses interest you?

Operating companies with real customers, a comprehensible model and an owner who wants a partner rather than an exit at any price. We are not the right party for pre-revenue ventures.

Which markets do you serve?

Registered in Cyprus, active across the EU, in English and German.
