None — not a licensed adviser

An adviser paid per transaction wants a transaction. We put our own capital into what we back, which is a cruder alignment than any fee schedule — and a far more honest one.

Vexilon — held for our own account.
01 — What we do

Four activities, and a hard boundary

Everything below is either investment of our own capital or commercial consulting. None of it is regulated financial advice, and we do not hold anyone else’s money.

I

Own-account investment

We acquire and hold participations in operating companies with our own capital. No fund, no outside investors, no pooled vehicle — which is why there is nothing here to subscribe to.

ParticipationsOwn capitalNo fund
II

Commercial diligence

When a company is on the table, somebody has to read the contracts, the customer concentration and the working-capital cycle. We do that for our own decisions, and on mandate for others as a commercial — not financial — service.

ContractsConcentrationWorking capital
III

Structure & terms

How a deal is put together decides more than the price does. Shareholder agreements, minority protection, exit mechanics, earn-outs that survive contact with reality.

ShareholdingMinority rightsExit mechanics
IV

Post-investment governance

Board work, reporting discipline and the quarterly habit of asking the questions nobody in the business wants to ask. This is where most of the value is either created or lost.

How we look at an opportunity

Four stages, and most opportunities stop at the first. That is the point of having one.

Stage 01 · Screen

Does it fail fast?

We look for the reasons not to proceed before anything else — customer concentration, a single-person dependency, a market that shrank while nobody updated the deck. Most things stop here, quickly and cheaply.

Red flagsConcentrationDependencies
Stage 02 · Read

The documents, not the deck

Contracts, the actual revenue split, the working-capital cycle and what the numbers do when you take the adjustments back out. A model is an opinion; a contract is a fact.

ContractsAdjusted vs. actualCash cycle
Stage 03 · Structure

Terms that survive a bad year

Price matters less than what happens when the plan does not hold. Minority protection, information rights and an exit mechanism agreed while everyone is still friendly.

Stage 04 · Hold

Boring on purpose

Quarterly reporting, board attendance, and no pressure to manufacture an event. A holding that needs constant activity to look alive is not a holding.

02 — Approach

How we work

Slow at the start, decisive at the end, and unexciting in between.

Phase 01

Introduction

What the business is, who owns it and why the conversation is happening now. That last question answers more than people expect.

Phase 02

Diligence

Commercial reading of the documents. We say what we found, including when it ends the conversation.

Phase 03

Terms

Structure before price. If the mechanics cannot be agreed, the price never becomes relevant.

Phase 04

Hold

Governance, reporting and time. We are not looking for an exit on a schedule.

04 — FAQ

Clearly answered

Can I invest through VEXILON?

No. The company invests its own capital. There is no fund, no pooled vehicle and no subscription. Nothing on this site is an offer of securities or an invitation to invest.

Are you a licensed financial adviser?

No. VEXILON LTD is not authorised by CySEC or any other financial regulator and provides no investment advice, portfolio management or brokerage. Our consulting is commercial: structure, diligence and terms.

What is the difference between commercial and financial advice?

Commercial advice is about a specific business — its contracts, its customers, how a deal should be structured. Financial advice recommends investments to a person given their circumstances. We do the first and never the second.

Do you publish returns?

No. Past performance figures from a private holding company are unverifiable by you and would be marketing rather than information. We would rather publish nothing than something you cannot check.

What kind of businesses interest you?

Operating companies with real customers, a comprehensible model and an owner who wants a partner rather than an exit at any price. We are not the right party for pre-revenue ventures.

Which markets do you serve?

Registered in Cyprus, active across the EU, in English and German.

No regulated financial services. VEXILON LTD is not authorised or supervised by the Cyprus Securities and Exchange Commission (CySEC) or any other financial regulator. It does not provide investment advice, portfolio management, brokerage, custody or any other regulated investment service, and it does not hold client funds or client financial instruments.

No offer, no solicitation. Nothing on this website constitutes an offer of securities, an invitation to invest, a financial promotion or a recommendation to buy, sell or hold any asset. The company invests exclusively for its own account.

Consulting scope. Consulting provided by VEXILON LTD is commercial and operational in nature — company analysis, transaction structure and terms. It is not a personal recommendation and takes no account of any individual’s financial situation, objectives or risk tolerance.

Risk. Investing involves risk, including the total loss of capital. Anyone considering an investment should take independent, licensed advice appropriate to their own circumstances.

Let’s talk

A business, a structure question, or a deal that needs a second reading?

Tell us what is on the table. If it is outside what we do — or outside what we are permitted to do — you will hear that first.
